The present conditions of sale are concluded on the one hand by the company Terpan Prévention SAS with a capital of 316.950.00 € whose head office is located at 14 rue du Clos Hubert, ZA croix Saint Mathieu, 28320 Gallardon, France, registered in the Chartres Trade and Companies Register under number 338 868 763 hereafter referred to as “Terpan Prévention” and managing the website www. terpan.fr and, on the other hand, by any individual or legal entity wishing to make a purchase via the website www.terpan.fr hereinafter referred to as “the buyer”.

Article 1. Object

The present terms of sale aim to define the contractual relationship between Terpan Prévention and the buyer and the conditions applicable to any purchase made through the website www.terpan.fr. The acquisition of a product through this site implies the buyer’s unreserved acceptance of the present conditions of sale, which the buyer acknowledges having read prior to placing his/her order. Prior to any transaction, the buyer declares on the one hand that the purchase of products on the site www.terpan.fr is not directly related to his/her professional activity and is limited to strictly personal use and on the other hand to have full legal capacity, allowing him/her to commit to the present general conditions of sale.

Terpan Prévention reserves the right to modify these terms and conditions of sale at any time, in order to comply with any new regulations or in order to improve the use of its site. Therefore, the applicable conditions will be those in force at the date of the order by the buyer.

Article 2. Products

The products offered are those shown on the Terpan Prévention website www.terpan.fr, while stocks last. Terpan Prévention reserves the right to modify the range of products at any time. Each product is presented on the website in the form of a description of its main technical characteristics (capacity, use, composition, etc.). The photographs are as accurate as possible but do not commit the Seller. The sale of the products presented in the site www.terpan.fr is intended for all the purchasers residing in the countries which fully authorize the entry on their territory of these products. Article 3. Rates

The prices appearing on the cards products of the Internet catalog and are prices in Euros (€) all inclusive of tax (TTC) taking into account the VAT applicable to the day of the order. Any change in the VAT rate may be reflected in the price of the products. Terpan Prévention reserves the right to modify its prices at any time, it being understood however that the price indicated in the catalog on the day of the order will be the only one applicable to the buyer. The prices indicated do not include delivery charges, which are invoiced in addition to the price of the products purchased, depending on the total amount of the order. In metropolitan France, for any order greater than or equal to ………… euros including all taxes, shipping costs are offered; for any order less than ………… euros including all taxes, a fixed price for participation in shipping costs will be charged to the buyer in the amount of ………… euros including all taxes.

Article 4. Terms of order and payment

Before any order, the buyer must create an account on the site www.terpan.fr. The account creation section is accessible directly from the side menu bar. Each time the Buyer visits the site, if he/she wishes to order or consult his/her account (status of orders, profile, etc.), he/she must identify him/herself using this information. Terpan Prévention offers the buyer the possibility of ordering and paying for its products in several stages, with 3 payment options to choose from:

– Payment by check: the buyer selects the products he wishes to order in the “basket”, modifies if necessary (quantities, references…), checks the delivery address or informs a new one. Then, the shipping costs are calculated and submitted to the buyer, as well as the name of the carrier. Then, the buyer chooses the payment method of his choice: “Payment by check”. Finally, the last step proposes to him to check all the information, to take knowledge and to accept the present general conditions of sale by notching the corresponding box, then invites him to validate his order by clicking on the button “Confirm my order”. This last click constitutes the final conclusion of the contract. Upon validation, the buyer receives an order form confirming the registration of his order. In order to finalize payment and process the order, the buyer must print this order form, along with his/her check made out to “Terpan Prévention” at the following address Terpan Prévention 14 rue du Clos Hubert, ZA croix Saint Mathieu, 28320 Gallardon – France. No cash payments should be sent. Only checks issued by a French bank will be accepted. Upon receipt of the check, the order will be processed and the buyer will be informed by email. Terpan Prévention will ship the products at the earliest 2 working days after cashing the check corresponding to the order, subject to provisions.

– Payment by bank transfer: the buyer selects the products he wishes to order in the “basket”, modifies if necessary (quantities, references…), checks the delivery address or informs a new one. Then, the shipping costs are calculated and submitted to the buyer, as well as the name of the carrier. Then, the buyer chooses the payment method of his choice: “Payment by bank transfer”. Finally, the last step proposes to him to check all the information, to take knowledge and to accept the present general conditions of sale by notching the corresponding box, then invites him to validate his order by clicking on the button “Confirm my order”. This last click constitutes the final conclusion of the contract. Upon validation, the buyer receives an order form confirming the registration of his order. In order to finalize the payment and process the order, the buyer must contact his/her bank in order to transfer the amount of the order to Terpan Prévention’s bank account, the details of which are communicated to the buyer. Upon receipt of the transfer, the order will be processed and the buyer will be informed by e-mail. Terpan Prévention will ship the products at the earliest 2 working days after receipt of the transfer corresponding to the order, subject to availability of funds.

– Secure payment platform of the CIC Monetico bank: the buyer selects the products he wants to order in the “basket”, modifies if necessary (quantities, references…), checks the delivery address or informs a new one. Then, the shipping costs are calculated and submitted to the buyer, as well as the name of the carrier. Then, the buyer chooses the payment method of his choice: “Payment by credit card”. The next step is to verify all the information, read and accept the present general conditions of sale by checking the corresponding box, and then to validate the order by clicking on the “Confirm my order” button. Finally, the buyer is redirected to the secure interface of the CIC bank in order to safely enter his personal credit card information. If the payment is accepted, the order is recorded and the contract is definitively formed. The payment by credit card is irrevocable. In case of fraudulent use of the card, the buyer can demand the cancellation of the payment by card, the sums paid will then be credited back or refunded. The responsibility of the holder of a bank card is not engaged if the disputed payment has been proven to have been made fraudulently, at a distance, without physical use of the card. To obtain reimbursement of the fraudulent debit and any bank charges that the transaction may have generated, the cardholder must dispute the debit in writing with his or her bank within 70 days of the transaction, or even 120 days if the contract binding him or her to the bank so provides. The amounts debited will be reimbursed by the bank within a maximum of one month after receipt of the Cardholder’s written objection. The holder will not be charged for the return of the sums.

The confirmation of an order implies acceptance of these terms of sale, the recognition of having perfect knowledge of them and the waiver of its own conditions of purchase. Article 5. Reservation of ownership

Terpan Prévention retains full ownership of the products sold until full payment has been received, in principal, fees and taxes included.

Article 6. Withdrawal

Under Article L121-20 of the Consumer Code, the buyer has a period of fourteen working days from the delivery of their order to exercise their right of withdrawal and thus return the product to the seller for exchange or refund without penalty, except for return costs.

Article 7. Delivery

Deliveries are made to the address indicated on the order form which can only be in the agreed geographical area. The orders are carried out by La Poste via COLISSIMO, delivery service with follow-up, delivery without signature. Delivery times are given as an indication only; if they exceed thirty days from the date of the order, the sales contract may be terminated and the buyer reimbursed. Terpan Prévention may provide the buyer with the tracking number of his/her package by e-mail. The buyer is delivered to his/her home by his/her letter carrier. If the buyer is absent, he/she will receive a notice of passage from the letter carrier, which allows him/her to collect the ordered products at the nearest post office, during a period indicated by the postal services. The risks associated with transport are the responsibility of the purchaser from the moment the articles leave the company’s premises. Terpan Prévention. The buyer is required to check the condition of the packaging and the contents of the goods on delivery in the presence of the Post Office employee or the delivery person. In the event of damage during transport, any protest must be made to the carrier within three days of delivery.

Article 8. Guarantee

All products supplied by Terpan Prévention are covered by the legal guarantee provided by articles 1641 and following of the Civil Code. In the event of non-conformity of a product sold, it may be returned to Terpan Prévention who will take it back, exchange it or refund it. Article 9. Responsibility

Terpan Prévention, in the process of distance selling, is only bound by an obligation of means. It cannot be held responsible for any damage resulting from the use of the Internet network such as loss of data, intrusion, virus, break in service, or other involuntary problems.

Article 10. Intellectual property

All elements of the www.terpan.fr website are and remain the exclusive intellectual property of Terpan Prévention. No one is authorized to reproduce, exploit or use in any way whatsoever, even partially, elements of the site, whether in the form of a photo, logo, visual or text.

Article 11. Personal data

Terpan Prévention is committed to preserving the confidentiality of the information provided by the buyer, which he/she may be required to transmit for the use of certain services. Any information concerning the buyer is subject to the provisions of the French law n° 78-17 of January 6, 1978. As such, the Internet user has a right to access, modify and delete information concerning him.
